Terms of Service
Effective date: 1 July 2025
1. Acceptance of Terms
By creating an account or using any part of the Inteliva platform (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you (“Operator” or “you”) and Inteliva (“we”, “us”, “our”).
2. Description of Service
Inteliva provides a white-label Software-as-a-Service (SaaS) platform that enables independent tour operators to operate a branded booking website, manage tours and customers, and access AI-assisted content and operations tools (“Johnny”). The platform is delivered under a Bring Your Own Keys (BYK) model, described further in Section 5.
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. Where changes materially reduce the Service, we will notify you at least 30 days in advance.
3. Subscription and Billing
Access to the Service requires a paid subscription. Prices are listed on our pricing page. All prices are exclusive of VAT, which may apply depending on your country of registration.
- Monthly plans are billed on the same calendar day each month.
- Annual plans are billed upfront for the full year at the discounted rate shown.
- 7-day money-back guarantee: If you are not satisfied within the first seven days of your first subscription, contact us at hello@inteliva.com for a full refund. This applies to first-time subscriptions only and excludes subsequent billing periods.
- Subscription fees are collected via Stripe. We do not store your payment card details.
- You may upgrade or downgrade your plan at any time. Upgrades take effect immediately. Downgrades apply at the start of the next billing period.
- Failure to pay may result in suspension of the Service after a 7-day grace period.
4. Acceptable Use
You agree not to use the Service to:
- Publish false, misleading, or fraudulent tour listings.
- Violate any applicable law or regulation, including consumer protection and data protection laws.
- Transmit spam, malware, or any content that infringes third-party intellectual property rights.
- Attempt to gain unauthorised access to the Service or its underlying infrastructure.
- Use the Service in a way that disrupts other users or the stability of the platform.
We reserve the right to suspend or terminate accounts that materially breach this section without prior notice where necessary to protect the Service or other users.
5. Bring Your Own Keys (BYK) Model
Inteliva operates on a BYK basis. This means you supply and manage the API keys for the third-party services that power your platform, including but not limited to:
- Stripe — payment processing. Your Stripe account receives customer payments directly. Inteliva does not handle, hold, or process your booking revenue.
- Resend — transactional email delivery.
- Telegram — operator notifications and the Johnny task interface.
- Google Maps — map display on your public-facing tour pages.
- AI providers (e.g., OpenRouter / Anthropic Claude) — used by Johnny for content generation. Usage costs are governed by the respective provider's billing.
The underlying database and hosting infrastructure (Firebase / Google Cloud) is managed by Inteliva on your behalf. Your business data stored therein remains your property — see Section 6.
You are responsible for the costs incurred by your third-party service usage. Inteliva is not liable for charges arising from your use of BYK services. You must ensure your API keys are kept secure and revoked if compromised.
6. Data Ownership and Privacy
You retain full ownership of all data you input into the platform, including tour content, customer records, and booking data. Inteliva does not sell your data to third parties.
You are the data controller for the personal data of your end-customers (your tour guests). Inteliva acts as a data processor on your behalf for that data, in accordance with applicable GDPR obligations.
Our collection and use of data relating to your Inteliva subscription is described in our Privacy Policy.
7. Intellectual Property
The Inteliva platform, including its code, design, and documentation, is the intellectual property of Inteliva. Your subscription grants you a non-exclusive, non-transferable licence to use the platform for the duration of your subscription.
Content you create using the platform — tour descriptions, blog posts, guidebooks — belongs to you. Content generated by Johnny using your instructions and brand materials is considered your output.
8. Service Availability
We aim for maximum uptime but do not guarantee uninterrupted access to the Service. Planned maintenance will be communicated in advance where possible. We are not liable for losses arising from Service unavailability outside our reasonable control.
Scale and Enterprise plans include a prioritised support response time. Response time commitments are provided in the relevant plan description and do not constitute guaranteed uptime SLAs unless a separate Enterprise agreement specifies otherwise.
9. Termination
You may cancel your subscription at any time via your billing settings or by contacting us. Upon cancellation, your access to the platform continues until the end of the current billing period. After that, your business data is retained for 30 days, during which you may request a full export in a standard machine-readable format. After the export window closes, your data is permanently deleted. Billing and financial records are retained separately as required by law (see our Privacy Policy).
We may terminate your subscription immediately if you materially breach these Terms and fail to remedy the breach within 14 days of written notice.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Inteliva is not liable for any indirect, incidental, consequential, or punitive damages, including loss of revenue, loss of data, or loss of business, arising from your use of or inability to use the Service.
Our total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the total subscription fees paid by you in the three months preceding the claim.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the Czech Republic. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Czech Republic, without prejudice to your rights as a consumer under the laws of your country of residence within the European Union.
12. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email at least 30 days before the new Terms take effect. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
